CONSTELLATION X PTTOC User Agreement

This User Agreement ("Agreement") governs your use of the Constellation X PTTOC software and related services. Please read this Agreement carefully before using the software and services. This Agreement contains important information regarding limitation of liability, data usage, dispute resolution, and other legal terms.

IMPORTANT NOTICE

If you are under the age of 21, you may not use this software without authorization from your employing agency. This software is intended for use by authorized law enforcement and public safety personnel only.

By downloading, installing, accessing, or using the Constellation X PTTOC software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not use the software or services.

1. Scope of application

1.1 This Agreement is entered into between you and Constellation X, Inc. (hereinafter referred to as "Constellation X," "we," "us," or "our") governing your download, installation, access, and use of the Constellation X PTTOC software and related services. Certain services may be provided by Constellation X affiliates or subsidiary companies. By using such services, you agree to be bound by this Agreement with respect to those services.
 

1.2 "User" or "you" refers to authorized law enforcement personnel, public safety officials, and other individuals or entities who access or use the Constellation X PTTOC software and related services, whether directly or indirectly. This includes natural persons, government agencies, and other organizational entities.
 

1.3 "Constellation X PTTOC" refers to the push-to-talk over cellular communications platform, including the client application software, website (www.pttoc-constellationx.ai), and all related services provided by Constellation X. The platform enables secure voice and data communications for law enforcement and public safety operations.
 

1.4 This Agreement incorporates by reference all supplementary agreements, policies, and rules related to the Constellation X PTTOC software and services that have been published or may be published in the future. Such supplementary terms will be delivered to users through appropriate means (including website announcements, system notifications, or email) and shall become binding parts of this Agreement upon publication.

2. Use of Constellation X PTTOC Software and Related Services

2.1 You may obtain the Constellation X PTTOC client application through pre-installation on authorized devices, by downloading from Constellation X’s official website, or from third parties authorized by Constellation X. Constellation X cannot guarantee the functionality, security, or reliability of software obtained from unauthorized sources and disclaims all liability for issues arising from the use of unofficial versions of the software.

2.2 Constellation X may develop different versions of the software for various terminal devices and operating systems. You should obtain, download, and install the version appropriate for your specific device.

2.3 You may use and update the Constellation X PTTOC software according to your operational needs. If you no longer wish to use the software and services, you may uninstall the application at any time, subject to any contractual obligations with your employing agency.

2.4 To improve user experience and maintain security, Constellation X will periodically provide software updates (including modifications, upgrades, feature enhancements, new services, and software replacements). When updates are available, Constellation X will notify users through system prompts, announcements, or in-app messages. You may choose whether to accept updates, though declining certain updates may limit functionality or access to some features.

2.5 Unless you have obtained prior written authorization from Constellation X, you may not access or use the Constellation X PTTOC software and services in any unauthorized manner, including but not limited to adaptation, copying, reverse engineering, dissemination, mirroring, or commercial exploitation.

2.6 You acknowledge that use of the Constellation X PTTOC software requires compatible terminal devices (such as smartphones, tablets, or computers) and an active internet connection. You are responsible for all costs associated with internet connectivity, including data charges and network fees.

2.7 Constellation X grants you a personal, non-transferable, non-exclusive, and non-commercial license to use the Constellation X PTTOC software and related services. All rights not expressly granted in this Agreement are reserved by Constellation X.

2.8 Subject to applicable laws and regulations, you may begin using certain Constellation X PTTOC software features without formal registration. However, access to certain functions and services requires identity verification and registration in accordance with applicable laws, regulations, and departmental policies.

3. About Accounts

3.1 User accounts are typically provisioned through your employing agency or organization. Each account requires a secure password meeting Constellation X security requirements.

3.2 You agree that your account information will comply with all applicable laws and policies. You may not impersonate others or create accounts using another person’s identity without authorization.

​

3.3 Ownership of the Constellation X PTTOC account remains with Constellation X PTTOC Company. You are granted the right to use the account subject to compliance with this Agreement.

​

3.4 You are responsible for maintaining the security and confidentiality of your account credentials and for all activities conducted under your account.

​

3.5 Password recovery is subject to Constellation X PTTOC verification procedures. You are responsible for safeguarding your credentials.

​

3.6 You must provide accurate, lawful, and up-to-date identity information when applying for and using an account.

4. Information Security and Personal Responsibility

You are responsible for safeguarding sensitive information and bear sole responsibility for losses arising from unauthorized disclosure.

5. Acceptable Use Policy

Users must comply with all applicable laws and regulations. Prohibited activities include unauthorized system access, reverse engineering, dissemination of illegal content, interference with system operations, and misuse of the platform.

6. Data Usage Specification

Unauthorized copying, redistribution, or commercial exploitation of Constellation X PTTOC data or content is prohibited.

7. Treatment of Breach

Constellation X PTTOC may suspend or terminate services for violations and pursue legal remedies as necessary.

8. Service Changes and Termination

Constellation X PTTOC may modify, suspend, or terminate services as required by operational or legal needs.

9. Intellectual Property

All intellectual property rights in the software and related services are owned by Constellation X PTTOC Company.

10. Personal Information Protection

Personal information is handled in accordance with applicable laws and the Constellation X PTTOC Privacy Policy.

11. Disclaimer

The software and services are provided "as is" without warranties. Use is at your own risk.

12. Special Agreements on Individual Services

Certain services may be governed by additional agreements or rules.

13. Miscellaneous

13.1 This Agreement is governed by the laws of the State of Delaware, United States.

13.2 Disputes shall be resolved in the courts of the State of Delaware.
